Appendix A – standard conditions for advisory services (addendum to general terms and conditions).

Application

  • This appendix to the General terms and conditions for ON720.COM A/S ("ON720") applies to all agreements on strategic and business advice between On720 and the customer.

  • The terms and conditions in this appendix apply together with the general terms and conditions for ON720, unless they are specifically deviated from in the offer or order confirmation from ON720.

  • The conditions in this appendix take precedence at all times over any standard conditions sent by the customer.

Appointment

  • An agreement on advice is only entered into when On720 has sent order confirmation or On720 has signed an advice agreement signed by the customer.

Prices

  • Prices for consultancy services appear in On720's price lists or are stated in the order confirmation or contract sent to the customer.

  • All prices are excl. VAT, unless otherwise stated.

  • Consulting services are invoiced by On720 according to time consumption at the current list price, unless otherwise agreed in writing.

  • Extra work caused by the customer's circumstances, including delays, is always invoiced according to time consumption at current list prices for consulting services.

Delivery - delay

  • Advice is provided based on specifications in the order confirmation or contract. Time consumption in addition to that stated in the basis of the agreement is invoiced separately.

  • On720 assumes no responsibility for losses, including operating losses, losses due to downtime or indirect losses, which are due to delays in an advisory process, regardless of the reason for this.

Ownership of Software

  • For software developed for a specific customer, ownership of the developed software is transferred to the customer upon completion and payment of the final invoice.The customer thereby obtains full ownership rights and usage rights to the specifically developed software.

  • The consulting company relinquishes all ownership rights to the software but reserves the right to use general concepts, methods, and techniques developed during the project in other contexts, as long as this does not involve the disclosure of the customer’s specific solutions or trade secrets.
